The group of three men were riding along the Great Alpine Road at Hotham Heights when the incident happened just after 1.20pm.
Police believe the Myrtleford rider, 57, fell from his bike travelling around a sweeping bend, then slid across the asphalt onto the incorrect side of the road.
He was struck by an oncoming four wheel drive and died at the scene.
His friend, a Beechworth man in his late 50s, received minor injuries when he fell of his bike after witnessing the accident.
The three occupants of the four wheel drive were not injured.
Police will now prepare a report for the coroner.
